Additional services may be requested, and a formal quote will be provided. No work will commence without formal written consent from the Client.

2. Compensation

• Rate/Payment: The cost for services will be provided upfront in a formal quotation.
• Billing: Invoices will be issued upon completion of services unless otherwise agreed.
• Payment Due: Payment is due within 30 days of receiving the invoice.
• Late Payment Penalty: A 8% monthly interest charge will apply to overdue payments.
• Deposit: A 25% non-refundable deposit is required to initiate work.
• VAT: Quotes provided do not include VAT unless explicitly stated.

3. Payment Terms and Methods

Payments can be made via bank transfer, credit card, or PayPal.

Invoices will be generated via Lemiyu Ltd upon approval of provided quote.

Clients must reference the invoice number when making payments.

4. Expenses

The Client agrees to reimburse Lemiyu Ltd for any reasonable expenses incurred during the execution of services (e.g., domain registrations, asset purchases). Any expenses requiring reimbursement will be pre-approved by the Client in writing.

5. Confidentiality

We will maintain the confidentiality of all proprietary and confidential information provided by the Client. No disclosure of such information will be made without the Client’s written consent, except where required by law.

6. Independent Contractor Relationship

Lemiyu Ltd operates as an independent contractor and is not an employee, partner, or agent of the Client. We are responsible for our own taxes, insurance, and legal obligations.

7. Intellectual Property

Ownership: Lemiyu Ltd retains the intellectual property rights to all assets and solutions developed for the Client unless otherwise agreed in writing.

8. Indemnification

Both Lemiyu Ltd and the Client agree to indemnify and hold each other harmless from any claims, liabilities, damages, or expenses arising from this Agreement or the use of our services.

9. Termination

Either party may terminate this Agreement with 30 days’ written notice.

If the Client terminates the Agreement, payment for services rendered up to the termination date is required.

If Lemiyu Ltd terminates the Agreement, all pending work will be delivered, and the Client will be invoiced for completed work.

10. Governing Law

This Agreement is governed by the laws of the United Kingdom. Any disputes arising from this Agreement will be subject to UK jurisdiction.

11. Amendments

Any amendments to these Terms and Conditions must be agreed upon in writing and signed by both parties.

12. Invoice Disputes

Clients must notify us of any disputes within 14 days of receiving the invoice.

13. Refund Policy

Refunds are available within 30 days for faulty or unsatisfactory work, provided the Client demonstrates discrepancies with the original service agreement. To request a refund, contact info@lemiyu.com.

14. Taxes and Duties

The Client is responsible for any applicable taxes, fees, or duties unless otherwise agreed upon in writing.

15. Liability Limitation

To the fullest extent permitted by law, Lemiyu Ltd is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the total amount paid by the Client for services rendered.
